SOFTWARE ACCESS, INTELLECTUAL PROPERTY, MARKETPLACE & ANTI-SCRAPING TERMS AND CONDITIONS

Operator: Fishing Reservations LLC, a Nevada limited liability company


1. Purpose, Scope, and Authorized Access

Fishing Reservations LLC ("Fishing Reservations," "Company," "we," "us," or "our") provides proprietary online reservation software, booking systems, administrative tools, reporting capabilities, marketplace services, promotional distribution, and related services (collectively, the "Platform").

These Terms and Conditions ("Terms") govern access to and use of the Platform by customers, employees, contractors, agents, and other authorized users.

Access is permitted solely for legitimate business purposes, including reservation management, trip scheduling, customer service, reporting, booking administration, and related operations.

These Terms establish written conditions for continued Platform access. They do not retroactively impose contractual obligations on activities occurring before acceptance.

2. Limited Software License

Subject to compliance with these Terms, Fishing Reservations LLC grants authorized users a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Platform solely for approved business purposes.

This license does not transfer ownership of the Platform or any associated intellectual property.

No rights are granted except those expressly stated in these Terms or separately authorized in writing by Fishing Reservations LLC.

3. Prohibition on Scraping and Automated Data Collection

Without prior written authorization from Fishing Reservations LLC, users may not:

These restrictions do not prohibit ordinary authorized business operations, approved exports, or integrations expressly authorized by Fishing Reservations LLC.

4. Unauthorized Competitive Testing and Reverse Engineering

Users may not use nonpublic Platform functionality or confidential information for unauthorized competitive research, reverse engineering, systematic feature analysis, or development of software intended to replicate protected aspects of the Platform.

Prohibited activities include unauthorized documentation, reproduction, or analysis of proprietary administrative workflows, confidential business logic, nonpublic system functionality, and protected technical processes for competitive development.

These restrictions do not prohibit legitimate employee training, ordinary reservation management, authorized testing, lawful independent development, or activities protected by applicable law.

5. Production System Integrity

Users may not create, modify, or delete fictitious trips, reservations, customer records, transactions, or other production data for unauthorized software evaluation, competitive research, or development.

Legitimate operational corrections, authorized training, and testing expressly approved by Fishing Reservations LLC remain permitted.

Users must not intentionally disrupt Platform operations, compromise data integrity, or interfere with other customers' use of the Platform.

6. Intellectual Property Ownership

Fishing Reservations LLC retains all applicable rights, title, and interest in its proprietary software, source code, system architecture, nonpublic interfaces, protected documentation, confidential workflows, trademarks, and other intellectual property.

Access does not grant a license to reproduce, redistribute, sublicense, reverse engineer, or commercially exploit protected Platform technology except as expressly authorized.

Customers retain their applicable rights in customer-provided business records and reservation data. These Terms do not transfer ownership of customer data to Fishing Reservations LLC.

Third-party intellectual property remains the property of its respective owners.

7. Customer Data and Content Permissions

Customers retain their applicable ownership rights in business information, trip schedules, pricing, availability, reservation records, descriptions, photographs, and other content they provide to the Platform ("Customer Content").

Customers grant Fishing Reservations LLC a limited, nonexclusive license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content as reasonably necessary to operate, maintain, secure, support, and provide the Platform, its marketplace, and authorized promotional distribution services.

Customers represent that they have the necessary rights and permissions to provide Customer Content and authorize its use for these purposes.

This license does not independently authorize distribution through unrelated third-party OTAs or external commercial resellers without the applicable authorization.

8. Customer Data Accuracy and Lawful Use

Customers are responsible for maintaining accurate and lawful trip schedules, pricing, availability, capacities, cancellation policies, and other information entered into the Platform.

Customers and users must not knowingly submit fraudulent, unlawful, misleading, or infringing content.

Customers are responsible for obtaining any notices, permissions, or consents legally required for personal information they collect and enter into the Platform.

Fishing Reservations LLC may take reasonable action to address content or activity presenting a material legal, security, or operational risk, subject to applicable law.

9. Individual User Accounts and Security

Each user must access the Platform through an individually authorized account.

Users may not share credentials, impersonate another user, provide unauthorized third parties with access, or permit prohibited activities through their accounts.

Users must promptly report suspected credential compromise, unauthorized access, or security incidents.

Fishing Reservations LLC may require password resets, multifactor authentication, session revocation, or other reasonable security measures.

10. Data Export & Portability

Fishing Reservations LLC recognizes that customers may require access to their business and reservation data for operational, administrative, recordkeeping, or migration purposes.

Customers may request an export of their available business data, including reservation records, customer information, trip schedules, and other applicable customer-owned records maintained within the Platform.

To request a data export, please contact chad@fishingreservations.com.

Data exports will be provided in a commercially reasonable electronic format, subject to verification of the requester's authorization, applicable privacy and security requirements, and any contractual obligations.

Data exports do not include Fishing Reservations LLC's proprietary source code, software architecture, confidential system information, or other protected intellectual property.

The availability of an authorized data export does not permit customers or third parties to scrape, harvest, or systematically extract data from the Platform without prior written authorization from Fishing Reservations LLC.

11. Monitoring, Security, and Enforcement

Fishing Reservations LLC may monitor and retain access logs, administrative activity, account activity, and data-access records for legitimate operational, security, fraud-prevention, and enforcement purposes, consistent with applicable law and its Privacy Policy.

Fishing Reservations LLC may investigate suspected violations and, where permitted by law, restrict, suspend, or terminate access when reasonably necessary to protect the Platform, customers, or confidential information.

Security monitoring does not authorize unrestricted access to personal information or activities unrelated to legitimate Platform operations.

12. Violations and Legal Remedies

Violations may result in account restrictions, suspension, termination of access, or other remedies available under applicable law.

Fishing Reservations LLC reserves the right to pursue lawful remedies for unauthorized access, misuse of confidential information, intellectual-property infringement, and other unlawful conduct.

Such remedies may include injunctive relief, damages, and recovery of costs or attorneys' fees where authorized by law or an enforceable agreement.

Nothing in these Terms guarantees entitlement to a particular remedy.

13. Acceptance of Terms

By selecting "I Agree & Continue," each user affirmatively acknowledges that they have read, understood, and agreed to these Terms as a condition of accessing the Platform.

Users who decline these Terms must not access or use the Platform.

Fishing Reservations LLC may require renewed acceptance when material changes are made.

Acceptance applies prospectively and does not retroactively create contractual obligations for conduct occurring before acceptance.

14. Governing Law, Jurisdiction & Venue

These Terms and any dispute, claim, or controversy arising out of or relating to the Platform, its services, access to its systems, or the interpretation, enforcement, or alleged breach of these Terms shall be governed by the laws of the State of Nevada, without regard to its conflict-of-law principles, except where applicable federal law or other mandatory law controls.

To the fullest extent permitted by applicable law, legal actions or proceedings arising out of or relating to these Terms or use of the Platform shall be brought exclusively in the appropriate state courts located in Carson City, Nevada, or, where federal jurisdiction exists, the United States District Court for the District of Nevada.

Each party consents to personal jurisdiction in those courts and waives objections to venue or inconvenient forum to the extent permitted by law.

Nothing in this section overrides mandatory legal protections or jurisdictional requirements that cannot lawfully be waived.

15. Customer Responsibility for Authorized Users

Customers are responsible for authorizing, managing, and promptly removing access for their employees, independent contractors, remote workers, agents, and other designated users.

Customers must ensure that their authorized users comply with these Terms.

To the extent permitted by applicable law, customers are responsible for violations committed by individuals accessing the Platform under authority granted by the customer.

Fishing Reservations LLC may restrict or revoke individual user access when reasonably necessary to protect system security, customer information, or proprietary technology.

16. Confidentiality and Nonpublic Software Information

Users acknowledge that the Platform may contain nonpublic or confidential information, including proprietary administrative interfaces, software workflows, system configurations, business processes, technical documentation, and protected commercial information.

Users may access and use such information only as reasonably necessary for authorized business activities.

Users may not disclose, reproduce, publish, distribute, or commercially exploit Fishing Reservations LLC's confidential information without authorization.

These restrictions do not apply to information that is lawfully public, independently developed without use of protected information, lawfully obtained without confidentiality obligations, or required or protected to be disclosed by applicable law.

17. API Access, Third-Party Integrations, and OTA Distribution

17.1 Existing API Schedule Distribution

Fishing Reservations LLC currently provides API-based distribution of participating operators' trip schedules, availability, and associated booking information through approved promotional websites, including:

Participating customers authorize Fishing Reservations LLC to transmit, display, reproduce, and update their submitted trip schedules, pricing, availability, and associated booking information through these existing channels for promotion and reservation purposes.

Fishing Reservations LLC and Sportfishing Report Inc. remain separate legal entities, and publication through affiliated websites does not transfer ownership of either company's intellectual property.

17.2 Future API Access

Fishing Reservations LLC may offer additional APIs, developer interfaces, automated data feeds, and integration services to approved third parties.

Such access requires prior written authorization and may be subject to separate licensing agreements, authentication controls, technical requirements, rate limits, fees, and security obligations.

A standard Platform account does not automatically grant third-party API access rights.

17.3 OTA Distribution

Fishing Reservations LLC may offer services allowing participating operators to distribute eligible inventory through approved online travel agencies, marketplaces, resellers, affiliates, and distribution partners.

Third-party OTA participation may require separate agreements covering commissions, pricing, inventory availability, booking synchronization, cancellations, refunds, settlements, and customer information.

Acceptance of these Terms does not automatically enroll customers in unrelated third-party OTA distribution.

17.4 Third-Party Reservation Platforms

Fishing Reservations LLC may establish authorized integrations with third-party reservation systems to receive, display, market, distribute, or facilitate bookings of inventory made available through those systems.

Such integrations are subject to applicable third-party permissions, agreements, and technical requirements.

17.5 Unauthorized Integrations

Users may not connect or operate unauthorized applications, automated services, browser extensions, data-extraction tools, or integrations that access the Platform for prohibited data collection, system monitoring, or replication of proprietary functionality.

Automated integrations must use access methods expressly authorized by Fishing Reservations LLC.

17.6 Integration Security and Data Rights

Authorized integration partners must comply with applicable authentication requirements, technical specifications, data-security standards, rate limits, and permitted-use restrictions.

API access and OTA participation do not automatically transfer ownership of customer data or proprietary Platform information.

17.7 Separate Commercial Agreements

Fishing Reservations LLC may establish separate API Developer & Integration Agreements, OTA Distribution & Marketplace Agreements, and other commercial arrangements.

These Terms do not independently authorize third-party API access, inventory resale, or unrelated external distribution.

18. Fishing Reservations Marketplace, Sales Referrals & Distribution Services

18.1 Marketplace Services

Fishing Reservations LLC operates an online marketplace and reservation referral service designed to promote participating fishing operators, charter boats, landings, and other eligible businesses.

The marketplace may display participating operators' trip schedules, availability, pricing, business descriptions, photographs, and other authorized information to help customers discover, select, and book fishing trips.

18.2 Marketplace Referrals Included in Subscription

Fishing Reservations LLC currently provides marketplace promotion and sales referrals to participating customers as part of its reservation software subscription, without charging an additional marketplace referral commission.

Marketplace inclusion does not guarantee any particular number of bookings, referrals, customers, or revenue.

18.3 Future Marketplace Fees and Commissions

Fishing Reservations LLC reserves the right to introduce separate marketplace referral fees, booking commissions, distribution fees, or other marketplace charges in the future.

New fees or commissions will be disclosed to affected customers before becoming effective and will require affirmative agreement or other legally valid authorization.

No new marketplace commission will be imposed retroactively on bookings or referrals completed before the applicable fee arrangement takes effect.

18.4 Marketplace Promotion and Content

Participating customers authorize Fishing Reservations LLC to use their submitted business names, trip descriptions, schedules, availability, pricing, photographs, and other authorized content as reasonably necessary to promote their services through the Fishing Reservations marketplace.

Customers retain ownership of their content, subject to the limited permissions granted for authorized marketplace activities.

18.5 Operator Responsibility

Participating operators remain responsible for providing the fishing trips and related services they offer, including maintaining accurate schedules, prices, availability, passenger requirements, cancellation policies, and other applicable information.

Unless Fishing Reservations LLC expressly agrees otherwise in writing, Fishing Reservations acts as a reservation technology and marketplace provider rather than the operator of the fishing trips.

18.6 Marketplace Changes and Participation

Fishing Reservations LLC may modify marketplace functionality, promotional features, referral methods, and distribution capabilities as its services evolve.

Material changes affecting fees or customer obligations will be communicated in advance and implemented in accordance with applicable agreements and law.

18.7 Third-Party OTA Distribution

Distribution of operator inventory through unrelated online travel agencies, resellers, affiliates, or third-party marketplaces may require separate authorization and commercial agreements.

Participation in the Fishing Reservations marketplace does not automatically authorize distribution through unrelated third-party OTAs.

19. Restrictions on Sublicensing, Resale, and Transfer

Platform access is granted only to authorized customers and their designated users for permitted business purposes.

Users may not sell, sublicense, rent, transfer, commercially distribute, or provide unauthorized third-party access to the Platform or its nonpublic functionality.

Customers may not represent that they own, operate, or are authorized to license Fishing Reservations LLC's proprietary software without express written authorization.

This section does not restrict ordinary booking services offered to passengers through authorized Platform functions.

20. Suspension, Termination, and Security Investigations

Fishing Reservations LLC may temporarily restrict or suspend individual accounts when reasonably necessary to investigate suspected unauthorized access, security threats, prohibited extraction, or material violations of these Terms.

Where reasonably practical and consistent with security needs, Fishing Reservations LLC may provide notice and an opportunity to resolve the issue.

Fishing Reservations LLC may preserve relevant system records, access logs, and other lawfully obtained evidence relating to suspected misuse or security incidents.

Users must not intentionally destroy, alter, or conceal Platform records for the purpose of obstructing a lawful investigation.

Where feasible, account-level restrictions will be used instead of unnecessarily disrupting an entire customer's operations.

Termination does not automatically extinguish accrued obligations or applicable customer data rights.

21. Service Maintenance, Updates, and Availability

Fishing Reservations LLC may perform maintenance, apply security updates, correct defects, improve features, and modify Platform functionality.

Reasonable notice will be provided for material service interruptions or changes when practicable.

Fishing Reservations LLC does not guarantee uninterrupted or error-free operation through these Terms. Specific service-level commitments must be separately agreed upon in writing.

Nothing in this section excludes obligations or remedies that cannot lawfully be excluded.

22. Aggregated and De-Identified Operational Analytics

Fishing Reservations LLC may compile and use aggregated or appropriately de-identified operational information derived from Platform usage to maintain, secure, analyze, and improve its services.

Such information must not reasonably identify individual passengers or disclose confidential customer-specific business information.

This provision does not independently authorize transfer of identifiable customer data to unrelated third parties or to Sportfishing Report Inc.

All processing remains subject to applicable privacy laws and contractual obligations.

23. Feedback and Product Suggestions

Users may voluntarily submit feedback, suggestions, bug reports, or ideas concerning the Platform.

To the extent users have the necessary rights, they grant Fishing Reservations LLC a nonexclusive, worldwide, royalty-free license to use, evaluate, reproduce, and incorporate such feedback into its products and services.

This provision does not grant Fishing Reservations LLC ownership of customer confidential information or third-party intellectual property that the submitting user is not authorized to license.

24. Survival of Obligations

Upon suspension, termination, or expiration of access, provisions that by their nature should continue shall survive to the extent permitted by law.

These include confidentiality, intellectual-property protections, restrictions on unauthorized use of protected information, accrued liabilities, and applicable dispute-resolution provisions.

Termination does not create new restrictions on information or activities otherwise lawfully available or permitted.

25. Relationship to Customer Agreements and Other Policies

These Terms govern Platform access and acceptable use by customers and individual users.

Fishing Reservations LLC may separately establish Customer SaaS Agreements, Data Processing Agreements, API Developer & Integration Agreements, OTA Distribution & Marketplace Agreements, and other commercial agreements.

Where a separately executed agreement applies, its provisions control in the event of a direct conflict concerning matters governed by that agreement, unless the parties validly agree otherwise.

Use of the Platform is also subject to applicable privacy disclosures and other policies properly incorporated into the contractual relationship.

These Terms do not amend, replace, or transfer the separate legal rights, policies, or intellectual property of Sportfishing Report Inc., which is an independent legal entity.

26. Changes, Severability, Waiver, and Notices

Fishing Reservations LLC may revise these Terms from time to time.

Material revisions may require renewed affirmative acceptance before continued access.

If a court of competent jurisdiction determines that a provision is invalid or unenforceable, the remaining provisions shall continue in effect to the extent legally permissible.

Failure to enforce a provision on one occasion does not automatically waive the right to enforce it in the future.

Mandatory User Acknowledgment

By selecting "I Agree & Continue," I acknowledge that:

  • I am accessing Fishing Reservations LLC software solely for authorized business purposes.
  • Unauthorized scraping, systematic data harvesting, reverse engineering, and competitive exploitation of protected software information are prohibited.
  • Unauthorized production-system testing and manipulation of fictitious records are prohibited.
  • I must protect my individual login credentials and comply with applicable security requirements.
  • Platform activity may be monitored for legitimate security and operational purposes.
  • Fishing Reservations operates a marketplace and distributes authorized schedules through approved promotional websites.
  • Customers may request authorized exports of their business data by contacting chad@fishingreservations.com.
  • These Terms designate Nevada law and Nevada courts for covered disputes to the extent legally permissible.
